Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by SubreProib Media ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

SubreProib Media provides professional copywriting, editing, and proofreading services, including but not limited to:

• Website content creation and copywriting
• Marketing materials and advertising copy
• Blog posts and article writing
• Content editing and proofreading
• Manuscript editing and review
• Content strategy consultation

3. Service Agreement and Project Scope

3.1 Project Proposals

All projects begin with a detailed proposal outlining scope, deliverables, timeline, and pricing. The proposal becomes a binding agreement upon your written acceptance.

3.2 Scope Changes

Any changes to the agreed-upon scope must be approved in writing and may result in additional charges and timeline adjustments.

3.3 Client Responsibilities

Clients are responsible for providing:

• Accurate project briefs and requirements
• Necessary materials, information, and resources
• Timely feedback and approvals
• Access to relevant brand guidelines or style guides

4. Payment Terms

4.1 Pricing and Invoicing

All prices are quoted in Canadian dollars (CAD) unless otherwise specified. Invoices will be sent according to the payment schedule outlined in your project proposal.

4.2 Payment Schedule

• Small projects (under $1,000): Payment due upon completion
• Medium projects ($1,000-$5,000): 50% deposit, 50% upon completion
• Large projects (over $5,000): 50% deposit, 25% at midpoint, 25% upon completion

4.3 Late Payments

Invoices are due within 30 days of receipt. Late payments may incur a service charge of 1.5% per month on outstanding balances.

4.4 Refund Policy

Deposits are non-refundable once work has commenced. Refunds for completed work will be considered on a case-by-case basis.

5. Intellectual Property and Ownership

5.1 Work Product

Upon full payment, clients receive exclusive ownership of the final delivered content. Until full payment is received, SubreProib Media retains all rights to the work product.

5.2 Client Materials

Clients retain ownership of all materials provided to us and grant us a limited license to use such materials solely for the purpose of completing the agreed-upon services.

5.3 Portfolio Use

We reserve the right to use completed work in our portfolio and marketing materials unless otherwise agreed upon in writing.

6. Revisions and Approval Process

6.1 Included Revisions

Our standard pricing includes up to two rounds of revisions based on your feedback. Additional revisions beyond this scope may incur additional charges.

6.2 Revision Requests

Revision requests must be provided in writing within 7 days of delivery. Requests for revisions outside the original scope will be treated as additional work.

6.3 Final Approval

Projects are considered complete and approved if no feedback is received within 14 days of delivery.

7. Delivery and Timelines

7.1 Delivery Schedule

We will make every effort to meet agreed-upon deadlines. However, timelines are estimates and may be affected by factors including client feedback delays, scope changes, or unforeseen circumstances.

7.2 Rush Orders

Rush orders requiring delivery within 48 hours may incur additional charges of 25-50% of the project fee.

8. Confidentiality

We maintain strict confidentiality regarding all client information and project details. We will not disclose confidential information to third parties without written consent, except as required by law.

9. Quality Assurance and Warranties

9.1 Professional Standards

We guarantee that all work will be completed to professional industry standards and will be free from grammatical and spelling errors upon final delivery.

9.2 Limitation of Warranties

Our services are provided "as is" without warranties of any kind beyond those explicitly stated in these Terms.

10. Limitation of Liability

In no event shall SubreProib Media be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid for the specific services giving rise to the claim.

11. Termination

11.1 Termination by Client

Clients may terminate services at any time with written notice. Payment is due for all work completed up to the termination date.

11.2 Termination by Company

We may terminate services immediately if the client breaches these Terms, fails to make payments, or provides false information.

12. Force Majeure

Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or pandemics.

13. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the laws of Yukon Territory, Canada.

14. Governing Law

These Terms are governed by the laws of Canada and the province of Yukon Territory. Any legal proceedings shall be conducted in the courts of Yukon Territory, Canada.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16. Modifications

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with the revised effective date. Continued use of our services constitutes acceptance of modified Terms.

18. Entire Agreement
